The website provides general business information about Mandate House and its allocator-development operating services.
Accessing the website, submitting an inquiry or communicating through the website does not create any of the relationships or commitments below.
• A client relationship.
• An investment-advisory relationship.
• A fiduciary relationship.
• A broker, dealer or placement-agent relationship.
• A partnership, joint venture, employment relationship or agency relationship.
• A promise to accept an engagement or a commitment to provide services.
A client relationship arises only through a written agreement signed by the appropriate parties. Descriptions of services, processes, controls and operating practices on this website are general and informational. They are summaries, not commitments, and they may be adapted to a manager’s own compliance requirements. The signed engagement agreement governs in all cases, and it controls where anything on this website differs from it.
Mandate House provides research, marketing administration, business-development operations and related support to investment managers under written agreements and manager-approved parameters.
Mandate House operates as an independent contractor. It does not have authority to bind a manager, make commitments on a manager’s behalf or independently approve investment, offering or performance representations.
Campaign audiences, positioning, communication frameworks and investment-related materials remain subject to the manager’s approval and any compliance or legal review required by that manager. Mandate House does not independently modify or distribute investment claims outside those approved parameters.
Unless expressly permitted by a written agreement and applicable law, Mandate House does not perform the activities below.
• Provide investment advice or recommend investments to investors.
• Act as an investment adviser, broker-dealer, placement agent or fiduciary.
• Provide legal, tax or regulatory advice.
• Offer or sell securities.
• Determine whether an investor is accredited, qualified or otherwise suitable.
• Negotiate investment or subscription terms.
• Accept, hold or transmit investor funds.
• Execute securities transactions or make investment decisions.
• Guarantee meetings, diligence, commitments, allocations or capital raised.
• Receive compensation based on an investment, subscription, allocation, transaction or amount of capital raised.
Mandate House’s standard compensation is based on fixed service fees rather than transaction outcomes. The investment manager and its advisers remain responsible for offering structure, securities-law compliance, approved audiences and audience eligibility, approved materials, investment and performance claims, substantive investor discussions, diligence, suitability, negotiations, subscriptions, communication retention and regulatory books and records, and investor decisions. Any client-specific outreach must operate within the offering structure, audience restrictions and communication parameters established by the manager and its legal or compliance advisers. Clients remain responsible for regulatory books and records and for implementing any required retention or archiving of business communications. Mandate House will reasonably cooperate with client-provided archiving processes where included in the applicable engagement.
Where Mandate House supports outreach for a client, communications may be limited by that client’s written instructions, offering structure, jurisdictions, compliance policies and legal advice.
Mandate House may route campaign materials and communication frameworks to the client for approval before use. The client remains responsible for the accuracy and legal sufficiency of investment-related content it approves. Mandate House remains responsible for operating within the approved instructions and for its own compliance with applicable law.
Mandate House does not use this website to market, recommend or offer an interest in any client fund or investment strategy.
Manager approval does not transfer responsibility for Mandate House’s own conduct. The manager remains responsible for investment-related statements and materials supplied or approved by it.
The Mandate House website and its general business content are not an offer to sell a security, a solicitation of an offer to buy a security, a recommendation of a security, an endorsement of a particular fund, strategy or investment manager, investment advice, or a substitute for offering documents or professional advice.
Website content does not constitute investment, legal, tax, accounting or regulatory advice. Visitors, managers and investors should obtain advice from their own qualified professional advisers concerning their circumstances.
